Vendor Terms and Conditions

By submitting payment for a vendor table at this event, the undersigned vendor ("you" or "Vendor") agrees to be bound by the following terms and conditions ("Agreement"), set by PlayTime Soccer ("the Show," "we," or "us"). Please read this Agreement in full before purchasing a table. If you do not agree to these terms, do not purchase a table or attend as a vendor.

1. Table Reservations and Payment

Table space is reserved only upon receipt of full payment. Verbal or written commitments without payment do not guarantee a table.
Table assignments (location, number, section) are at the sole discretion of the Show and may be adjusted at any time before or during the event for operational, safety, or layout reasons.
Each table purchase entitles the Vendor to one (1) standard 6' x 2.5' table and the designated vendor space behind it, unless otherwise specified in writing at time of purchase.
Sharing, subleasing, or reselling a table space to a third party is not permitted without prior written approval from the Show.

2. Cancellations, No-Shows, and Credits

Vendors who cancel their table reservation at least seven days before the event date will receive a credit equal to 100% of the amount paid, valid toward a table at a future show hosted by the Show. Credits issued for cancellations made within two days of the event, or for no-shows, are at the sole discretion of the Show.
Credits are non-transferable to other vendors, have no cash value, and must be redeemed within three of issuance unless otherwise agreed in writing.
If the Show cancels the event for reasons within its control, registered vendors will receive a credit toward a future show. The Show's liability in connection with a cancellation is limited to this credit; the Show is not responsible for any other costs vendors may have incurred (travel, lodging, lost income, etc.).
If the event is cancelled, postponed, or cut short due to circumstances beyond the Show's reasonable control (including but not limited to severe weather, venue unavailability, government order, natural disaster, or other force majeure event), the Show will make reasonable efforts to reschedule or issue credit, but is not obligated to issue cash refunds and is not liable for any resulting Vendor losses.

3. Vendor Conduct

Vendors are expected to conduct themselves professionally and courteously toward staff, other vendors, and attendees at all times. The following conduct standards apply for the duration of the event, including setup and teardown:

Vendors may not extend displays, signage, or merchandise beyond their assigned table footprint into walking aisles or neighboring vendor spaces.
Aggressive sales tactics, harassment, intimidation, or unwanted solicitation of attendees or other vendors will not be tolerated.
Vendors are responsible for the conduct of any employees, family members, or assistants working their table.
Alcohol, illegal substances, weapons, and any items prohibited by venue policy or local law are not permitted on the show floor.
Vendors must comply with all reasonable instructions from event staff and venue personnel, including those related to safety, fire code, and emergency procedures.

The Show reserves the right to remove any vendor from the premises without refund or credit for violation of these conduct standards, with no obligation to issue any warning beforehand in cases of serious misconduct (e.g., theft, violence, harassment, or fraud).

4. Authenticity, Counterfeit Cards, and Product Representation

Vendors selling, trading, or displaying trading cards, graded slabs, sealed product, or related collectibles affirm that all such items are genuine and accurately represented. Knowingly selling, trading, or displaying counterfeit, altered, doctored, recolored, resealed, or otherwise misrepresented cards or product is strictly prohibited.
Vendors are solely responsible for verifying the authenticity of items they sell or trade, including graded slabs. Display of a third-party grading company's label or holder (e.g., PSA, BGS, CGC) does not transfer any responsibility to the Show for the accuracy of that grade or the authenticity of the slab; counterfeit slabs and "resubmission fraud" (swapped contents) are a known risk in the hobby that Vendors must guard against independently.
Vendors must honor the condition and authenticity claims made to a buyer at the time of sale. Misrepresenting a card's grade, edition, printing, condition, or authenticity to make a sale is grounds for immediate removal from the show without credit or refund.
If the Show receives a credible, substantiated complaint that a Vendor knowingly sold counterfeit or materially misrepresented product, the Show may, at its discretion: (a) issue a warning, (b) remove the Vendor from the current and/or future shows, and/or (c) refuse future table sales to that Vendor. The Show is not a party to and does not mediate or guarantee the resolution of individual sales disputes between Vendor and buyer, but may assist in good faith where reasonable.
The Show does not inspect, authenticate, grade, or appraise any Vendor's inventory, and makes no representation or warranty regarding the authenticity, condition, or value of any item sold, traded, or displayed by any Vendor.

5. Buyer/Seller and Trade Disputes

Transactions between Vendors and buyers, or between Vendors and other Vendors (including trades), are solely between those parties. The Show is not a party to any such transaction and bears no responsibility for the outcome.
The Show may, at its discretion, provide a venue or staff contact for vendors and buyers to attempt to resolve a dispute on-site, but is not obligated to arbitrate, refund, reverse, or otherwise resolve any transaction dispute, and is not liable for any losses arising from a transaction between Vendor and any other party.
Grading disputes (e.g., disagreement over whether a card's condition matches its assigned grade) are between the transacting parties and, where applicable, the third-party grading company. The Show has no authority over and assumes no liability for third-party grading determinations.

6. Vendor Property and Liability

Vendors bring inventory, cash, equipment, and personal property to the event entirely at their own risk. By participating, Vendor agrees to the following:

The Show, its owners, organizers, employees, volunteers, and the venue and its owners (collectively, the "Released Parties") are not responsible for any loss, theft, damage, or destruction of Vendor's merchandise, cash, equipment, or other property, however caused, including before, during, or after show hours.
Vendor is solely responsible for the security of their table and inventory at all times, including arranging their own coverage (insurance, secure transport, lockboxes, etc.) for high-value inventory if desired. The Show does not provide insurance coverage for Vendor property and does not require Vendor to carry insurance, but strongly recommends Vendors consider their own coverage given the value of graded card inventory commonly present at the show.
To the fullest extent permitted by law, Vendor releases and holds harmless the Released Parties from any and all claims, damages, losses, or expenses arising out of or related to Vendor's participation in the event, except to the extent caused by the gross negligence or willful misconduct of the Released Parties.
Vendor is responsible for any injury, loss, or damage caused by Vendor, Vendor's employees or representatives, or Vendor's equipment or displays, to other vendors, attendees, venue property, or the venue itself.
The Show will provide off-duty police staff during the event.
The Show is not liable for any indirect, incidental, special, or consequential damages, including lost profits or lost sales, arising from Vendor's participation in the event.

7. Setup, Teardown, and Show Hours

Vendor setup and teardown times will be communicated in advance. Vendors must be fully set up before doors open to the public and may not begin teardown before the posted close of show hours without prior approval from event staff.
Vendors are responsible for bringing their own display materials (cases, mats, signage, bags, etc.) unless otherwise stated. Tables and chairs provided by the Show, if any, must be left in good condition.
Vendor must leave their table space clean and free of trash and packaging material at the close of the event.

8. Photography, Video, and Promotion

The Show may photograph or video the event, including vendor tables and displays, for promotional and marketing purposes. By participating, Vendor consents to such use unless Vendor notifies the Show in writing prior to the event that they decline to be included.

9. Changes to This Agreement

The Show may update these terms and conditions for future events. The version of this Agreement in effect at the time of a Vendor's table purchase governs that event.

10. Acknowledgment

By purchasing a table and/or attending as a Vendor, you acknowledge that you have read, understood, and agree to be bound by this Agreement in full.
